END USER LICENSE AGREEMENT (EULA)
This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and the software provider (“Provider”) governing your use of the software application, including any associated media, documentation, updates, patches, online services, and related components (collectively, the “Software”). By installing, copying, downloading, accessing, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, you must not install or use the Software.
1. License Grant
Subject to your compliance with this Agreement, the Provider grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for personal or internal business purposes. This license does not grant you ownership of the Software, but only a right of use under the conditions stated herein.
You may install the Software on devices that you own or control, provided that each installation complies with the scope of this license. Any use beyond the granted scope requires prior written authorization from the Provider.
2. Restrictions
You agree that you will not, and will not permit others to:
Copy, reproduce, or distribute the Software except as expressly permitted.
Sell, rent, lease, sublicense, or commercially exploit the Software.
Modify, adapt, translate, or create derivative works based on the Software.
Reverse engineer, decompile, disassemble, or attempt to derive source code from the Software, except where such restriction is prohibited by applicable law.
Remove, alter, or obscure any proprietary notices, trademarks, or labels.
Use the Software in any unlawful, harmful, or deceptive manner.
Any violation of these restrictions may result in immediate termination of your license and may subject you to legal action.
3. Intellectual Property Rights
The Software is protected by copyright, trade secret, and other intellectual property laws. All rights, title, and interest in and to the Software, including all associated intellectual property rights, remain exclusively with the Provider or its licensors.
No ownership rights are transferred to you under this Agreement. This Agreement only grants limited usage rights as explicitly described.
4. Updates and Modifications
The Provider may, at its discretion, provide updates, patches, or modifications to the Software. Such updates may be installed automatically or require manual installation. These updates may modify, enhance, or remove features.
The Provider reserves the right to discontinue support or updates for any version of the Software at any time without obligation or notice.
Continued use of the Software after an update constitutes acceptance of any modified terms, provided that such terms are made available to you.
5. Third-Party Components
The Software may include third-party software, services, or components that are subject to separate license terms. These third-party components are provided solely for your convenience, and their use is governed by their respective licenses.
The Provider does not assume responsibility for third-party components and makes no warranties regarding their performance, reliability, or security.
6. Privacy and Data
The Software may collect and process certain technical or usage data necessary for functionality, performance optimization, or diagnostic purposes. Such data may include device information, system configuration, usage patterns, and error logs.
By using the Software, you consent to the collection and processing of such data as described. The Provider will handle data in accordance with applicable privacy laws and reasonable security practices, but does not guarantee absolute security.
7. Termination
This Agreement is effective until terminated. Your rights under this Agreement will automatically terminate without notice if you fail to comply with any term or condition.
Upon termination, you must immediately cease all use of the Software and destroy all copies in your possession or control. Sections relating to intellectual property, disclaimers, limitations of liability, and governing law shall survive termination.
The Provider may also terminate or suspend access to the Software at any time for operational, legal, or security reasons.
8. Disclaimer of Warranties
The Software is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, the Provider disclaims all warranties, including but not limited to:
Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy or reliability of results
Uninterrupted or error-free operation
You acknowledge that use of the Software is at your sole risk and discretion.
9. Limitation of Liability
To the maximum extent permitted by applicable law, the Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or device malfunction, arising out of or related to your use or inability to use the Software.
In no event shall the total liability of the Provider exceed the amount you paid (if any) for the Software license.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless the Provider from and against any claims, damages, liabilities, losses, or expenses arising from your use of the Software, your violation of this Agreement, or your infringement of any third-party rights.
11. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the jurisdiction in which the Provider operates, without regard to conflict of law principles.
Any disputes arising under this Agreement shall be resolved in competent courts within that jurisdiction.
12. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13. Entire Agreement
This Agreement constitutes the entire agreement between you and the Provider regarding the Software and supersedes any prior agreements or understandings, whether written or oral.
